Business Terms of Service

Effective date: 4 September 2026. Version 1.0. These terms apply only to customers acting for business purposes.

1. Provider and scope

CARDENCER, a French SAS with share capital of EUR 42,000, SIREN 101 350 494, provides APIs, hosted checkout, dashboards, payment routing, fraud controls and reporting as technical services. The order form, these terms and any specific service schedule form the agreement.

2. Regulated services and financial institutions

Cardencer provides payment gateway technology and related technical services.

3. Eligibility and onboarding

The customer must be a duly registered business in an eligible European Union country, act through authorized representatives, provide complete and accurate information, identify beneficial owners and promptly report material changes. Cardencer may request additional documents when necessary.

4. Customer obligations

5. Fees, invoices and taxes

Fees, currencies and billing terms are stated in the applicable order form. Unless otherwise agreed, fees exclude taxes. Pricing displayed on a website is indicative until confirmed contractually.

6. Availability and changes

Cardencer seeks to maintain reliable services but does not guarantee uninterrupted availability. Maintenance, security incidents, third-party networks or force majeure may affect service. Material changes will be notified where reasonably practicable.

7. Data, confidentiality and security

Each party protects confidential information using reasonable measures. Personal data is handled under the Privacy Policy and, where Cardencer acts as processor, the Data Processing Addendum. The customer remains responsible for its systems, lawful instructions and end-user notices.

8. Intellectual property

Cardencer and its licensors retain all rights in the services. During the agreement, the customer receives a limited, non-exclusive, non-transferable right to use the services for its internal business payment activities.

9. Suspension and termination

Cardencer may suspend access where necessary for security, suspected fraud, legal compliance, partner instructions, overdue undisputed amounts or material breach. Either party may terminate as stated in the order form. Accrued obligations and provisions intended to survive remain effective.

10. Warranties and liability

To the extent permitted by law, services are provided without implied warranties. Neither party is liable for indirect or consequential loss. Cardencer’s aggregate liability is limited to fees paid for the affected services during the preceding twelve months, except where a limitation is prohibited by law or in cases of fraud or wilful misconduct.

11. Governing law and disputes

French law governs the agreement. The parties will first seek an amicable resolution. Disputes between commercial parties fall within the exclusive jurisdiction of the competent courts of Marseille, unless mandatory law requires otherwise.
